These Terms & Conditions (“Terms”) govern your access to and use of TalkNyx’s website and services (the “Services”). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Services, which are intended for business use. You are responsible for your account, for keeping your credentials secure, and for all activity that occurs under your account.

2. The Services

TalkNyx provides cloud-based business communication tools, including calling, text messaging, voicemail, number management and team collaboration. Features vary by plan. We may add, change or remove features over time.

3. Plans, trials & billing

• Free trial. Eligible plans include a 30-day free trial. A valid payment method is required at signup; you will not be charged during the trial, and your paid plan begins automatically when the trial ends unless you cancel.
• Fees. Subscription fees are billed in advance on a recurring basis. Pay-as-you-go usage is billed based on metered usage with any stated minimum.
• Taxes. Fees are exclusive of applicable taxes and telecom regulatory fees, which will be added where required.
• Changes. You may upgrade, change or cancel your plan from your account. Certain changes (such as downgrades) may take effect at the end of the current period.
• Non-payment. If a payment fails, we may suspend or limit calling and texting until the balance is resolved.

4. Acceptable use

You agree not to use the Services to:

• Send unlawful, fraudulent, harassing, or unsolicited bulk messages (spam), or violate messaging/telemarketing laws (including TCPA and 10DLC requirements);
• Impersonate others or misrepresent the origin of communications;
• Infringe intellectual property or privacy rights;
• Transmit malware, or attempt to disrupt, reverse-engineer or gain unauthorized access to the Services;
• Violate any applicable law or the requirements of our carriers/network partners.

You are responsible for obtaining any consents required to contact your recipients and for the content you transmit.

5. Emergency calling (911)

Cloud-based calling has limitations for emergency (911) calls. You must keep an accurate, dispatchable emergency address on file for each number. Emergency calling may not function during power, internet or service outages. Do not rely solely on the Services for emergency calling.

6. Your content

You retain ownership of the content you create in the Services. You grant us a limited license to host, process and transmit that content solely to provide and improve the Services. You are responsible for your content and for complying with applicable laws.

7. Intellectual property

The Services, including all software, design and trademarks, are owned by TalkNyx and its licensors. These Terms do not grant you any right to our intellectual property except the limited right to use the Services.

8. Third-party services

The Services rely on third-party providers (such as carriers, hosting and payment processors). We are not responsible for third-party services, and your use of them may be subject to their terms.

9. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, secure or error-free.

10. Limitation of liability

To the maximum extent permitted by law, TalkNyx will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data or goodwill. Our total liability for any claim relating to the Services will not exceed the amount you paid us in the 12 months before the claim.

11. Indemnification

You agree to indemnify and hold TalkNyx harmless from claims, damages and expenses arising out of your use of the Services, your content, or your violation of these Terms or applicable law.

12. Suspension & termination

We may suspend or terminate your access if you violate these Terms, fail to pay, or create risk or legal exposure. You may cancel at any time. Upon termination, your right to use the Services ends; certain provisions survive termination.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date. Continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which TalkNyx is established, without regard to conflict-of-law rules. Disputes will be resolved in the courts of that jurisdiction, unless otherwise required by applicable law.
